Arbitration Venue for Dispute Resolution

The parties shall attempt to resolve any disputes through good faith business negotiations.

In the United States: All disputes or claims arising out of or relating to these Terms of Use, or the breach thereof, whether in law or in equity, shall be settled by arbitration, to be conducted by a single arbitrator, in Ann Arbor, Michigan, in accordance with the then effective commercial rules of the American Arbitration Association. The costs of the arbitration and the reasonable attorneys' fees of the prevailing party shall be included in any award rendered by the arbitrator. Judgment upon the award may be entered in any court having jurisdiction thereof. Neither party shall disclose the existence, content or result of any arbitration proceeding without the prior written consent of the other party. Litigation to enforce the arbitrator's award shall be brought only in the U.S. Court for the Eastern District of Michigan, Southern Division, or the Circuit Court for the County of Washtenaw, Michigan; the parties stipulate to personal jurisdiction and venue in such court, and agree to waive the application of forum non conveniens. The prevailing party shall be awarded attorneys' fees and expenses in connection with any such motion to enforce the arbitration award.

Entire Agreement

These Terms of Use, together with the Privacy Policy and any other legal notices published by The Home Depot Repair Parts on the Site, constitutes the entire agreement between you and The Home Depot Repair Parts regarding your use of the Site. For clarity, the terms and conditions governing the purchase of any product are governed by the Terms of Sale. Notwithstanding any other provisions of these Terms of Use, any provision of these Terms of Use that imposes or contemplates continuing rights or obligations on you or us will survive the expiration or termination of these Terms of Use, including, without limitation, the indemnification and limitation of liability provisions.

Changes
